1. Introduction and Acceptance
Creatorishta is a creator-brand matchmaking and technology platform intended to help creators and brands discover collaboration opportunities, communicate about campaigns and organize creator marketing activities.
These Terms & Conditions (“Terms”) apply to your access to and use of the Creatorishta website, applications, dashboards, campaign tools, communications, content features and other services made available by Creatorishta (collectively, the “Platform”).
By creating an account, accessing the Platform, submitting a profile, responding to a campaign, communicating through the Platform or otherwise using the Platform, you agree to these Terms and any policies expressly incorporated into them.
If you use the Platform for a company, agency or other organization, you represent that you are authorized to accept these Terms on its behalf.
2. Definitions
“Creator” means an individual or entity offering content creation, audience access, influence, UGC or related promotional services.
“Brand” means a business, company, agency, organization or other party seeking creator collaboration or marketing services.
“Campaign” means a collaboration opportunity, campaign brief, assignment, promotion, UGC project, affiliate opportunity or other commercial activity offered or facilitated through the Platform.
“Content” means photographs, videos, audio, text, graphics, reviews, social posts, advertisements, creative assets and other materials created, uploaded or submitted in connection with the Platform or a Campaign.
“Deliverables” means the specific content, services, posts, appearances, links, files or other work agreed for a Campaign.
“User” means a Creator, Brand or other person or organization accessing or using the Platform.
“Platform” means Creatorishta's website, software, dashboards, tools, communications and related services.
“Intellectual Property” includes copyright, trademarks, trade names, logos, designs, inventions, database rights and other intellectual-property rights.
3. Eligibility
You must have the legal capacity to enter into a binding agreement under applicable law. If you are acting for an organization, you must have authority to bind that organization.
Unless a Campaign expressly states otherwise, Creatorishta is intended for adults who are legally capable of entering commercial agreements. Users must not misrepresent their age or identity.
Creatorishta may request reasonable verification information and may refuse, restrict or suspend access where permitted by law.
4. Accounts, Profiles and Security
- Provide information that is accurate, current and not misleading.
- Keep your login credentials secure and confidential.
- Do not impersonate another person, Creator, Brand or organization.
- Do not create duplicate or deceptive accounts to manipulate the Platform.
- Do not sell, transfer or improperly share an account.
- Notify Creatorishta promptly if you believe your account has been compromised.
- Update profile information when material information changes.
You are responsible for activity conducted through your account, except to the extent applicable law provides otherwise.
5. Creator Responsibilities
Creators are responsible for the accuracy and legality of their profiles, audience information, portfolio materials, representations and Campaign work.
- Do not buy, sell or artificially inflate followers, views, likes, comments, shares or other engagement metrics.
- Do not use bots, click farms or fraudulent engagement services.
- Do not misrepresent audience demographics, performance statistics or previous brand work.
- Complete accepted Deliverables within agreed deadlines and specifications.
- Follow reasonable Campaign briefs, Brand requirements and disclosure obligations.
- Only submit Content that you own or are authorized to use.
- Give honest opinions and experiences and avoid unsupported or deceptive claims.
- Do not impersonate Brands, other Creators or public figures.
- Comply with applicable law and the rules of each social platform used for a Campaign.
- Disclose material commercial relationships where disclosure is required.
6. Brand Responsibilities
Brands are responsible for the accuracy and legality of Campaign briefs, product information, claims, assets and instructions supplied to Creators.
- Clearly state Deliverables, timelines, compensation, approval requirements and intended usage rights.
- Ensure that supplied logos, product images, trademarks, claims, music and other Brand Materials may lawfully be used.
- Do not request unlawful, discriminatory, deceptive or unsafe Content.
- Do not require a Creator to make claims that are false or cannot reasonably be substantiated.
- Honor agreed compensation and Campaign terms.
- Respect Creator personal information and confidential information.
- Do not require undisclosed sponsorships, fake reviews or misleading testimonials.
7. Campaigns, Matchmaking and Campaign Agreements
Creatorishta provides technology and matchmaking tools. A Campaign listing, recommendation or match does not guarantee selection, acceptance, engagement, sales, reach, revenue or return on investment.
When a Brand and Creator agree to work together, the parties should record the material Campaign terms before work begins. Those terms should include, as applicable:
- scope and Deliverables;
- deadlines and posting dates;
- compensation and payment timing;
- number of revisions;
- approval process;
- usage rights and licensing;
- paid advertising, boosting or whitelisting rights;
- exclusivity and category restrictions;
- cancellation and rescheduling terms; and
- product, shipping or expense responsibilities.
A Campaign-specific agreement may create obligations directly between the Brand and Creator. Unless a separate written agreement says otherwise, Creatorishta is a technology and matchmaking platform and is not automatically a party to every Brand-Creator commercial agreement.
8. Content and Intellectual Property
Creators generally retain ownership of original Content they create unless a separate Campaign agreement expressly provides for an assignment or different ownership arrangement.
Brands retain ownership of their trademarks, logos, product assets, Brand Materials and other Intellectual Property they supply.
Uploading Content to Creatorishta does not by itself transfer ownership of that Content. Rights granted to a Brand should be based on the rights expressly agreed for the relevant Campaign.
Usage rights should be specific
Where Content is licensed rather than transferred, the parties should specify the duration, territory, channels, media, permitted edits, paid advertising or amplification rights, whitelisting, sublicensing and exclusivity. A request to post Content organically is not automatically a grant of unlimited advertising rights.
Each User is responsible for third-party copyright, trademark, music, likeness, privacy and publicity rights associated with Content it creates, supplies or requests.
9. Advertising, Disclosures and Legal Compliance
Creators and Brands are independently responsible for complying with applicable advertising, consumer-protection, tax, intellectual-property, privacy and other laws and regulations.
Where a Creator has a material commercial relationship with a Brand, the relationship should be disclosed clearly and in accordance with applicable requirements. Users should consider applicable Indian advertising standards, including relevant ASCI guidelines, and any requirements applicable to the product category or communication channel.
Regulated products or services may require additional restrictions, disclosures, approvals or documentation. Creatorishta does not provide legal or regulatory certification for a Campaign.
10. Payments, Taxes and Fees
Campaign compensation is determined by the applicable Campaign agreement. Compensation may include monetary payment, products, services, affiliate commissions, performance-based amounts or a combination of these.
Where Creatorishta charges a Platform or service fee, the applicable fee should be disclosed before it becomes payable. Users must not intentionally circumvent disclosed Platform fees through introductions or transactions where such restrictions lawfully apply.
Payment timing, method, milestones, cancellations, revisions and refund treatment should be stated in the applicable Campaign agreement.
Each party is responsible for taxes, GST, TDS, invoices, reporting and other statutory obligations for which it is legally responsible. Creatorishta may withhold, delay or restrict payment where reasonably necessary because of fraud investigations, verification issues, disputes, security concerns or legal requirements.
11. Cancellations, Revisions and User Disputes
Brands and Creators should agree cancellation, rescheduling and revision terms before work begins. If a party fails to perform, the affected parties should first use the Campaign terms to determine the appropriate remedy.
Creatorishta may facilitate communications or investigate violations of Platform policy, but does not guarantee a particular result in a private commercial dispute between Users.
12. Prohibited Conduct
Users must not:
- commit fraud, scams or deceptive conduct;
- impersonate a person, Creator, Brand or organization;
- manipulate Campaign metrics or Platform rankings;
- scrape or collect Platform information through unauthorized means;
- use unauthorized bots, automated access or credential harvesting;
- attempt to bypass Platform security;
- upload malware or harmful code;
- harvest or misuse personal information;
- sell, transfer or rent Platform accounts;
- send spam or abusive communications;
- circumvent applicable Platform fees;
- misrepresent affiliation with Creatorishta or another User;
- use the Platform for unlawful activity; or
- interfere with the operation or security of the Platform.
13. Platform Content and Limited User License
Creatorishta and its licensors retain rights in the Platform, software, design, branding, documentation and other Creatorishta materials, except for User Content owned by Users.
Creatorishta needs limited rights to host, display, process and transmit User Content so the Platform can operate. By submitting Content to the Platform, you grant Creatorishta a non-exclusive, worldwide, royalty-free license to host, reproduce, display and process that Content solely as reasonably necessary to provide, secure, improve and operate the Platform.
Where appropriate, Creatorishta may use publicly available profile information or selected Campaign information to market and explain the Platform, subject to applicable privacy requirements. Creatorishta does not acquire ownership of Creator Content merely because it is uploaded.
14. Privacy and Personal Data
Personal information collected through the Platform is handled according to the Creatorishta Privacy Policy and applicable law.
Users may need to provide profile, contact, social-media and Campaign information to facilitate legitimate matchmaking and collaboration. Users must not misuse personal information obtained through Creatorishta.
15. Third-Party Services and Social Platforms
The Platform may integrate with or link to third-party services including Instagram, YouTube, Facebook, TikTok, Google, payment providers, hosting providers, analytics providers and authentication services.
Those services operate under their own terms and policies. Creatorishta does not control their algorithms, availability, account decisions, monetization, reach, advertising policies or enforcement actions.
16. AI Features
Creatorishta may provide AI-assisted pitching, matching, recommendations, campaign discovery or content-support features.
AI outputs can be inaccurate, incomplete or unsuitable for a particular Campaign. Users must review and verify AI-generated information before relying on it or sending it to a Brand or Creator.
AI recommendations do not guarantee acceptance, campaign performance, reach, revenue or engagement. Users must not use AI features for impersonation, spam, deceptive claims, fraud or unlawful activity.
17. Platform Availability and Changes
Creatorishta does not guarantee uninterrupted or error-free availability. Maintenance, outages, security incidents, third-party failures, network problems and circumstances outside reasonable control may affect the Platform.
Features, pricing, Campaign formats and Platform functionality may change over time. Creatorishta may add, modify, suspend or discontinue features where reasonably necessary.
18. Disclaimers
Creatorishta is a technology and matchmaking platform. It does not guarantee that a User will receive Campaigns, find a particular Creator or Brand, achieve a particular audience size, generate sales, earn income or obtain a particular return on investment.
Creatorishta does not guarantee the accuracy of every User profile, audience metric, statement or representation. Users should conduct their own due diligence before entering a commercial relationship.
Nothing on the Platform constitutes legal, tax, financial, medical or other professional advice.
19. Limitation of Liability
To the maximum extent permitted by applicable law, Creatorishta will not be liable for indirect, incidental, special, consequential or loss-of-profit damages arising from use of the Platform or from transactions, communications or disputes between Users.
Creatorishta is not responsible for the acts or omissions of another User, third-party service, social-media platform or external provider.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.
20. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify and hold harmless Creatorishta and its relevant personnel from claims, losses, liabilities, damages and reasonable expenses arising from your breach of these Terms, unlawful conduct, infringement of third-party rights, Campaign obligations or Content.
21. Suspension and Termination
Creatorishta may suspend, restrict or terminate an account where reasonably necessary because of fraud, false information, security risks, unlawful conduct, serious or repeated Platform violations, abuse of other Users, non-payment where applicable, or material breach of these Terms.
Where appropriate, Creatorishta may remove Campaign listings, profiles, messages or Content that violate these Terms or applicable law.
Termination does not automatically eliminate obligations that arose before termination. Provisions concerning payments, Intellectual Property, confidentiality, indemnification, liability, disputes and other provisions intended by their nature to survive may continue.
22. Confidentiality
Users may receive confidential Campaign briefs, unreleased products, pricing, business strategy, Creator information or Brand information. Users must protect such information and use it only for the legitimate purpose for which it was disclosed.
Information that is publicly available without breach, already lawfully known, independently developed or required to be disclosed by law is not confidential solely because it was discussed through the Platform.
23. Changes to These Terms
Creatorishta may update these Terms from time to time. The updated version will be posted on the Platform with a revised “Last updated” date.
Where appropriate, material changes may be communicated through reasonable means. Continued use after the effective date of updated Terms constitutes acceptance to the extent permitted by applicable law.
24. Governing Law and Jurisdiction
These Terms are intended to operate under applicable laws of India. The final jurisdiction and venue should be confirmed against Creatorishta's actual legal entity, registered office and business structure before this section is treated as the final contractual provision.
Do not insert a city or registered address into this document unless it accurately reflects Creatorishta's legal records.
25. General Provisions
Severability
If a provision is found unenforceable, the remaining provisions continue to operate to the extent permitted by law.
Waiver
Failure to enforce a provision does not constitute a permanent waiver of that provision.
No Agency or Partnership
Use of the Platform does not by itself create employment, agency, partnership or joint-venture relationships between Creatorishta and a User or between Users.
Assignment
Users may not transfer their rights or obligations under these Terms where doing so would violate applicable law or these Terms.
Entire Agreement
These Terms, together with applicable Campaign agreements and policies expressly incorporated into them, form the applicable agreement concerning use of the Platform.
